Binding Agreement Between You and protectNIL Inc.

1. License Grant

Subject to full compliance with this Agreement, protectNIL Inc., a Delaware corporation doing business as Coach Bank™ ("Company", "we", "us", or "our"), grants you a non-exclusive, limited, revocable license to access and use our proprietary software platforms—including Coach Bank™, NILAssist®, and Epic AI® (collectively, the "Software")—solely for your personal or authorized institutional use in accordance with applicable law.

2. AI System Disclosure

The Software includes services powered by artificial intelligence (AI), including but not limited to natural language processing, machine learning, large language models, and automated decision support systems. Specifically:

Coach Bank™ and NILAssist® are intelligent virtual assistants that analyze user inputs, generate AI-powered responses, and assist with NIL compliance, education, contract insights, and personalized support.

These systems do not constitute legal, financial, or regulatory advice, and should not be relied upon in place of professional counsel. All outputs are for informational purposes only.

By using the Software, you acknowledge and accept the automated, generative, and probabilistic nature of these systems.

3. Ownership and Trademarks

All content, code, designs, documentation, trademarks, trade dress, and intellectual property made available through the Software are owned by protectNIL Inc. and protected under U.S. and international laws.

This Software and its associated content are protected under the U.S. Copyright Act of 1976, as amended (17 U.S.C. §101 et seq.), and all rights not expressly granted herein are reserved. Unauthorized reproduction, distribution, modification, public display, or creation of derivative works based on any part of the Software or its outputs is a violation of federal law and may result in civil or criminal penalties.

NIL Teammate™ (pending registration)

Any use of our marks, likeness, logos, or product names without prior written permission is strictly prohibited.

4. Content Collection, Commercial Use, and AI Training Rights

By accessing or using the Software, you grant protectNIL Inc. a worldwide, royalty-free, irrevocable license to collect, store, analyze, reproduce, publish, use, and commercialize any data, inputs, questions, comments, feedback, or interactions you submit or receive through the Software (collectively, "User Content").

This includes the right to:

Use User Content to train, improve, and develop AI models, including models used by protectNIL Inc. and its third-party partners;
Reproduce or summarize content (e.g., for research, insights, or marketing purposes) in anonymized or aggregated form;
Retain your content indefinitely, unless required otherwise by law or by written request;
Use such data for internal product development, academic research, compliance analytics, and commercial services offered to third parties.

You acknowledge and agree that:

You have all rights necessary to provide the User Content;
User Content may be reviewed manually or algorithmically for quality, performance, and security;
No compensation will be due to you for any use of the User Content under this clause.

If you do not agree with these terms, do not use the Software.

5. Prohibited Uses

You may not:

Reverse-engineer, copy, scrape, or clone the Software;
Repackage or commercialize the AI-generated responses;
Use the Software to train or enhance competing AI systems;
Misuse the Software to violate NIL, FTC, NCAA, state, or school policies;
Use the Software in any high-risk or mission-critical context (e.g., legal defense, medical emergencies, financial trades).

6. Monitoring, Enforcement, and Legal Action

We monitor usage patterns and interactions. Any misuse, scraping, unauthorized branding, or attempt to replicate core features will result in immediate legal action, including but not limited to:

Claims under the Lanham Act, DMCA, ACPA, and Uniform Trade Secrets Act;
Cease-and-desist demands, domain takedown requests, and civil litigation;
Pursuit of statutory, actual, and treble damages.

You agree to indemnify and hold harmless protectNIL Inc. against any claims resulting from your use or misuse of the Software.

7. Disclaimer of Warranties

The Software is provided "as is" and "as available" with no warranties of any kind. We disclaim all express and implied warranties, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee NIL eligibility outcomes, AI accuracy, deal results, or compliance protections.

8. Limitation of Liability

To the fullest extent permitted by law, protectNIL Inc. shall not be liable for:

Any indirect, incidental, punitive, or consequential damages;
Loss of profits, business interruption, or lost opportunities;
Errors, omissions, or consequences arising from use of AI-generated content.

Total cumulative liability shall not exceed $100 USD.

9. Termination

We may suspend or terminate your access for any reason. Upon termination, all rights granted herein shall cease immediately. Sections 3–8 shall survive termination.

10. Modifications

We may update this Agreement at any time. Updates will be posted to our website and become effective upon posting. Continued use constitutes acceptance.

11. Governing Law and Venue

This Agreement is governed by the laws of Delaware. All disputes shall be resolved in courts located in Clark County, Nevada, or by binding arbitration under AAA rules.
